END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“Agreement”) is a binding legal contract between you (“Licensee”) and Off The Rack (by Josiah Goldsmith) (“Licensor”) regarding the use of any font software (“Font” or “Fonts”) purchased, downloaded, or otherwise obtained from Licensor.
By installing, accessing, or using the Font, Licensee agrees to be bound by the terms of this Agreement.
Easy Font Licensing (the important bit):
This licence is intentionally designed to be simple, accessible, and supportive of independent designers, small agencies, and emerging brands. Our goal is to make high-quality fonts and creative assets available to those who might not otherwise have access to them.
Each licence is tied to the organisation or individual who purchases it. The standard licence allows up to ten (10) seats — meaning the Font may be installed on up to ten devices or used by up to ten users within the same organisation.
If you work with clients, they do not need their own licence unless they will install or use the Font files themselves.
- For example, if you're simply sending the client JPGs, PNGs, or PDFs, they don’t need a licence.
- However, if the client wishes to install the Font on their own machines — for instance, so their team can use it in-house — they’ll need to purchase a separate licence.
If you or your client represent a larger organisation or agency, or if you intend to use the Font in ways that extend beyond the scope of this standard licence — such as in major branding campaigns, trademarks for high-revenue companies, or other large-scale commercial projects — please contact Off The Rack (by Josiah Goldsmith) to discuss custom licensing options tailored to your needs.
1. Grant of Licence
Licensor grants Licensee a non-exclusive, non-transferable, worldwide licence to use the Font subject to the terms and conditions herein.
Licensee may:
- Install and use the Font on up to ten (10) devices or by up to ten (10) users within a single organisation under the Standard Licence, or on more than ten (10) devices or users under an Extended Licence.
- Use the Font for any commercial or non-commercial purpose, including but not limited to print, digital, web, app, video, broadcast, product packaging, and marketing materials.Embed the Font in websites, applications, eBooks, and PDFs, provided such embedding does not enable third parties to extract or redistribute the Font.
- Modify the Font for internal use. However, derivative versions remain subject to this Agreement and may not be redistributed.
- A “seat” refers to a single user or device within the same organisation. The licence does not extend to clients or third parties. Clients receiving final artwork, logos, PDFs, or other static output are not required to purchase a licence unless they install or use the Font themselves.
2. Restrictions
Licensee must not:
- Sell, distribute, sublicense, lease, or otherwise redistribute the Font in any form.
- Share the Font with third parties, except as embedded as described above.
- Claim ownership of the Font itself or attempt to register the Font or any substantial part thereof as their own intellectual property.
3. Logo and Trademark Usage
Use of the Font in logos, trademarks, or brand identities is permitted under the following conditions:
- Licensee acknowledges that use of the Font in a logo does not transfer ownership of the Font or any related intellectual property to Licensee.
- This licence covers logo and brand identity usage for companies, organisations, or individuals with annual gross revenue not exceeding USD $250,000 (or equivalent in local currency).
- If the Licensee’s annual revenue exceeds USD $250,000, or if the Font is used as part of a logo, trademark, or brand identity intended for large-scale commercial distribution, the Licensee must obtain a custom commercial licence from Licensor. Please contact Off The Rack (by Josiah Goldsmith) to discuss extended licensing terms and pricing.
4. Intellectual Property
The Font and all associated intellectual property rights remain the sole property of Licensor. Licensee acquires no ownership rights by purchasing or using the Font.
5. Attribution
Attribution to “Off The Rack (by Josiah Goldsmith)” is not required but appreciated in any credits, colophons, or acknowledgements.
6. Compliance and Audit
Licensor reserves the right to request reasonable proof of seat count or usage at any time to ensure compliance with this Agreement.
7. Termination
This Agreement remains in effect for as long as the Licensee uses the Font in accordance with its terms.
Licensor may terminate this licence only if the Licensee violates the terms of this Agreement. Upon such termination, the Licensee must immediately cease any use of the Font that violates the Agreement and destroy any copies obtained in breach of these terms.
8. Disclaimer & Liability
The Font is provided “as is,” without warranties of any kind. Licensor shall not be liable for any damages arising from the use or inability to use the Font.
9. Governing Law
This Agreement is governed by and construed in accordance with the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
